Beta Tester Agreement & NDA

Purpose

Thank you for participating in the Zabbra beta program. Zabbra is committed to protecting both its platform and your creative work.

Your Artwork and Brand Assets

Zabbra does not claim ownership of your logos, trademarks, brand assets, prompts, concepts, presentations, or other materials you provide.

• The Tester retains ownership of logos, trademarks, brand assets, prompts, and other materials supplied by the Tester.
• Subject to any third-party intellectual property rights, the Tester owns the concepts, presentations, and creative outputs generated from the Tester's inputs through Zabbra, excluding the Zabbra platform, software, workflows, systems, methods, and underlying intellectual property.
• Tester warrants that they have the right to upload and use any logos, trademarks, artwork, branding, or other materials submitted into the platform.

Definition of Zabbra

For purposes of this Agreement, "Zabbra" includes the current platform, any successor platform, alternate brand name, trade name, DBA, product name, domain name, or substantially similar service operated by Zabbra or its owners. All references to Zabbra apply equally to any future rebranding, renamed version, successor product, affiliated platform, or replacement service.

Confidential Information

Tester acknowledges that Zabbra, its features, workflows, user interface, business methods, concept-generation processes, presentation methods, proprietary operational practices, roadmap, documentation, pricing, technical architecture, and all non-public information relating to the platform are confidential.

Confidentiality Obligations

• Tester agrees not to disclose, share, copy, distribute, publish, or otherwise make available any Confidential Information to any third party without prior written permission from Zabbra.
• Tester may not publicly share screenshots, recordings, demonstrations, reviews, descriptions, evaluations, or other information regarding the platform without prior written permission from Zabbra.

Beta Account Limits

Beta accounts currently include:

• Up to 5 active projects
• Up to 50 concept versions

These limits help us manage platform performance during the beta period and may change over time.

Beta Use Restrictions

Zabbra is provided solely for evaluation and testing purposes. Tester agrees not to:

• Reverse engineer
• Decompile
• Replicate
• Attempt to recreate
• Assist others in recreating

the platform, workflows, business processes, functionality, user experience flows, feature sets, concept-generation processes, presentation methods, or underlying methods used by Zabbra.

Tester shall not use Confidential Information, directly or indirectly, to reproduce, replicate, emulate, reverse engineer, train, design, develop, market, support, or commercialize a competing product, service, workflow, platform, feature set, business process, or substantially similar service.

Tester shall not use Confidential Information obtained through participation in the beta program to develop, assist in developing, advise, fund, market, or support the development of any product, service, platform, workflow, or business that competes with Zabbra.

Feedback

Tester grants Zabbra a perpetual, worldwide, royalty-free right to use, modify, incorporate, and commercialize suggestions, ideas, feature requests, bug reports, and other feedback without compensation or attribution.

Usage Analytics

Tester acknowledges that Zabbra may collect project activity, concept generation activity, feedback submissions, platform usage metrics, and beta participation data for product improvement, analytics, support, and beta evaluation purposes.

AI-Generated Content

• Zabbra generates concepts and creative outputs using artificial intelligence.
• Outputs may contain inaccuracies, similarities to existing works, or content requiring review.
• Tester is responsible for evaluating all outputs before customer presentation, production, publication, or commercial use.

Ownership

Except for the rights expressly granted in this Agreement, Zabbra retains all right, title, and interest in and to the platform, software, workflows, systems, methods, branding, and related intellectual property.

No Warranty

The beta platform is provided "AS IS" without warranties of any kind.

Term

• This Agreement begins upon acceptance and continues throughout participation in the beta program.
• Confidentiality obligations survive for three (3) years following termination.

Termination and Enforcement

• Zabbra may immediately suspend or terminate Tester access to the beta platform for any violation of this Agreement.
• Upon request, Tester shall delete or destroy confidential materials, screenshots, recordings, documentation, and other non-public information obtained through participation in the beta program.
• Tester acknowledges that unauthorized disclosure or misuse of Confidential Information may cause irreparable harm to Zabbra.
• Zabbra may seek injunctive relief and other available legal remedies.
• The prevailing party in any action arising from this Agreement shall be entitled to recover reasonable attorney fees and costs.

Governing Law

This Agreement shall be governed by the laws of the State of California.

Acceptance

By accessing or using the Zabbra beta platform, Tester acknowledges that they have read, understood, and agree to this Agreement.
